After the Hospital Sells Its Building
Steward's property financing brought cash now and obligations later. Reading both sides raises a further question: how can care be protected without making its provider irreplaceable?

A hospital can sell its building without moving a bed. The public entrance stays where it was. What changes is less visible: ownership of the premises, the obligations attached to using them, and the parties who will have to negotiate if the money runs short. Continuity of location can conceal a substantial change in the conditions of care.
Steward Health Care's 2016 transaction with Medical Properties Trust, or MPT, makes that distinction tangible. The September agreement covered nine Massachusetts acute-care hospitals and approximately $1.25 billion. It was not a purchase of all nine properties: roughly $600 million bought the real estate of five hospitals for leaseback; another $600 million consisted of first-mortgage loans secured by four hospitals.[1]
A further $50 million purchased newly issued preferred interests representing a 4.9% economic interest in Steward. The filing expressly denied MPT general management authority, reserving limited protective rights. Being a landlord, lender or minority investor is not the same as running a hospital, even where those relationships matter greatly to its possibilities.[1]
The transaction closed on 3 October. The acquired properties were simultaneously leased back. The master lease and mortgages had substantially similar fifteen-year terms, three five-year extension options and annual inflation-protected escalators. The closing delivered financing; it also established obligations reaching into later years. Neither half of that sentence should disappear.[2]
An immediate accusation suggests itself: property was turned into cash, leaving the hospitals to pay. That identifies something worth investigating. It does not yet tell us what the financing made possible, where its proceeds went, or which decisions explain the eventual collapse. For that, the starting position matters too.
Before the investment
In 2010, Steward was taking over the Caritas Christi system. The Massachusetts attorney general's review described serious capital constraints, ageing facilities, debt and underfunded pensions. It assessed Steward's Cerberus-backed capacity as a reasonably viable alternative and judged the transaction in the public interest under its conditions. Continued nonprofit ownership was not presented as a trouble-free baseline.[3]
That was an assessment made by a particular public authority at a particular time. It does not let us observe the history that would have followed a refusal. Later failure cannot prove that rejecting the takeover would have been better. Equally, an earlier case for investment cannot authorize everything subsequently done with the organization receiving it.
The review tied public benefit to commitments and enforcement, including five years of monitoring of costs, access and services. Capital's usefulness and protection of the people depending on it were distinct tasks. A transaction could address an urgent shortage while still needing conditions that outlasted the announcement.[3]
This complicates criticism in a necessary way. Equipment, staffing and maintenance cannot be funded by a declaration of public purpose. If an objection to private investment supplies no account of how necessary care will be sustained instead, the unanswered financing question does not vanish. It remains with the people who need the service.
But usefulness is not a blank cheque. Investment may purchase time to improve an operation; particular financial terms may also make its future less forgiving. We need to examine what was obtained for the obligations assumed. A benevolent account and a predatory account can both outrun the records if neither follows the money.
Nor is capital a single historical actor. The Cerberus-related takeover in 2010, MPT's property and lending transaction in 2016, management's operating decisions and the subsequent bankruptcy belong to different decisions and relationships. Responsibility requires identifying who decided what, when, with which authority. A label encompassing everyone can make an accountable decision harder to find.
Cash once, payments over time
A sale-and-leaseback is not inherently an admission of failure or wrongdoing. It can release funds tied up in real estate and allow an operator to concentrate on delivering services rather than owning premises. If the money improves care and the ongoing payments are sustainable, that separation may be useful. This is a possible rationale, not a finding that Steward achieved those benefits.
The difficulty is temporal. Sale proceeds arrive at a closing; payments occupy a calendar. Evaluating the transaction only by the cash available on the first day leaves most of its economic life outside the frame. Future rent, financing costs, maintenance and necessary investment have to be considered alongside the resources expected to meet them. A better-looking balance today does not by itself mean more room to care tomorrow.
The sale also changes the next negotiation. The operator needs continued use of a particular location, while another party holds rights over that property. A rent obligation is not an instruction about a clinical decision. Nevertheless, its affordability belongs in an examination of what an operator can sustain. The connection requires operating evidence; the lease alone cannot calculate the effect on care.
Security has more than one audience here. A property investor can reasonably seek dependable payment for committing resources. But a contract establishing an entitlement to payment has not thereby answered what happens to essential services when resources are insufficient. The validity of a claim and the continuity of care are related questions, not interchangeable ones.
The headline amount needs particular care. The $1.25 billion package was not a statement of expenditure on patients. Purchases, loans and preferred investment are different flows. An account claiming that a specified amount funded equipment, expansion, repayment of earlier obligations or distributions needs records establishing that use. The total cannot simply be assigned to whichever explanation we find most plausible.
There is a second gap we should not fill with confidence. Eight years separate the property transaction and the bankruptcy filing. Establishing causation requires examining operating decisions, revenues and costs, other financing and later transactions. The presence of a long-term obligation identifies a line of inquiry. It does not establish a sufficient explanation for everything that followed, still less the cause of an individual patient's injury.
Steward filed for Chapter 11 on 6 May 2024. Massachusetts said that day that facilities were operating as usual and announced patient information channels, continued on-site monitoring and participation in the bankruptcy process. That is a dated account of the response, not a claim that every facility subsequently stayed open. This essay stops there rather than pretending to report the final disposition of the system.[4]
Bankruptcy exposes obligations to scrutiny, but it does not answer every question merely by occurring. We still need to connect a particular loss to a particular decision and responsible party. Care with that connection is not an exemption from accountability. It keeps a general condemnation from substituting for an account capable of supporting it.
Protecting care is not protecting an incumbent
For a patient, another hospital is not simply another tab to open. A usable alternative depends on urgency, travel, the availability of the needed service and applicable payment arrangements. Those conditions must be checked locally. Another marker on a map is not yet a replacement for the care required at a particular time.
That is why exit is an incomplete answer. Choosing a different provider later cannot, on its own, supply missing emergency capacity now. Individual decisions can express dissatisfaction; they cannot be assigned the entire task of building an alternative network. The limits of that remedy should be recognized before an emergency, not discovered only in one.
But dependence can also be used to reverse the argument: if people cannot afford to lose the service, the company and its existing arrangements must be preserved. Something has changed objects in that sentence. People need accessible, continuing care. That need is not an unlimited undertaking to maintain one ownership structure or honour every expectation attached to it.
The state's announcement on the filing day paired protection of patients and workers with participation in a process seeking ownership transitions. At least as a stated aim, continuing care and retaining the existing operator were separable. The announcement also contained strong criticism of Steward. That criticism belongs to the administration; it is not a judicial determination of each disputed responsibility.[4]
Separating the goals does not make a transition easy. A successor needs staff, financing, access to premises and arrangements for connecting services. Those requirements are what turn an alternative from a proposal into somewhere people can actually go. If public resources are involved, their route into continuing care deserves explanation, rather than being assumed from the survival of a balance sheet.
There can be hard choices about which services a community can sustain and where. Calling care essential does not create unlimited funds or erase those choices. It does, however, change what a convincing explanation must address. The relevant account cannot end with the amount recovered by a creditor, any more than it can end with a promise to keep everything exactly as it was.
The same questions apply to public and nonprofit providers. A different legal identity does not automatically supply transparency, competence or a way to challenge decisions. Who can examine the financial conditions of continued operation? How are clinical concerns heard? What happens when a public commitment expires? Those questions survive a change of owner.
People who hope to stay also belong in the picture. Staff may want to keep working in the community; patients may reasonably prefer care near home. Their interest is not always departure. It can be timely information and an opportunity to question a proposed change before it becomes irreversible. They need not possess a veto over every transaction for their questions to merit an answer.
The original review's emphasis on monitoring is useful here without being a guarantee of success. Asking for information is not the same as obtaining a correction, and recording a commitment is not evidence that it was fulfilled. Oversight needs its own scrutiny: what it could see, when it could act and whether its reach matched the life of the obligations it was meant to examine.
Steward's history does not give us a serviceable slogan against all investment. Hospitals need resources and someone must bear the risk of supplying them. Patients should not, because they need those resources, become the unexamined bearers of every consequence. An adequate account has to bring the uses, burdens and means of review into the same picture.
After a building is sold, people may still enter through the same door. Keeping that door usable is not settled solely by who holds the title today or who supplied money years ago. It also depends on what has already been promised against the future, and how much room remains for the people inside to continue caring, object and make a different arrangement.
