The Water Still Comes Through This Pipe

A dividend without a net cash outflow, and a penalty that cannot itself repair a pipe. Thames Water's cases put accountability beside the continuing need for service.

A dividend need not produce a net cash outflow to reduce what a water company can use in the future. That is an awkward opening for a scandal story. It is also the distinction worth preserving in Ofwat's account of one Thames Water transaction: cash returned, but an economic benefit had moved.[1]

The March 2024 arrangement involved a £131.3 million dividend and the surrender of tax losses for use elsewhere in the corporate group. The dividend came back as payment for those losses, leaving no net cash outflow. Ofwat nevertheless concluded that the regulated business had surrendered the ability to use the losses itself without obtaining a net benefit in return.[1]

For present purposes, a tax loss can be understood as something that may, under the relevant conditions, reduce a future tax bill. The current cash balance does not describe every resource available to a business. What can be used later matters too, especially where people depend on the business continuing to perform a service.

Calling the arrangement cash extracted by shareholders would get this mechanism wrong. Looking only at the unchanged cash balance would miss it in the other direction. Careful criticism does not have to choose the louder description. It can follow what moved, who could use it afterwards and what that meant for the regulated operation.

A household cannot order another network

Ofwat explains that household customers in England and Wales cannot switch the licensed water company serving their area as they might switch electricity or mobile providers. This account concerns households, not the separate retail arrangements available to eligible business customers. The distinction matters before we prescribe consumer choice as a remedy.[2]

Signing a new contract does not bring another pipe network into a kitchen. Water service requires treatment facilities, maintenance, physical connections and sustained operation. These are easily overlooked because the point of a reliable system is that users do not have to organize all of that work themselves every morning.

The dependency has material reasons. Long-lived networks need coordinated investment. A separate private installation for every household is not automatically a more usable freedom than a shared system. But the importance of the system cannot establish that every condition proposed by its operator must therefore be accepted.

Equity, borrowing and investors capable of committing funds over time can have real value here. If necessary investment cannot be financed, service and maintenance do not become cheaper by virtue of their importance. The question is how funding, returns and operating obligations fit together, rather than whether the existence of a return settles the matter either way.

Licence Condition P30, effective from 17 May 2023, required dividend policies to take account of current and future investment, long-term financial resilience, service to customers and the environment, efficiency and risk management. It was not a ban on all dividends. It required the decision to distribute value to be made alongside the conditions of continuing service.[1]

That puts people outside the transaction into the picture. Household customers did not approve the dividend. They nevertheless need the regulated business to perform next year and the year after. A decision agreed among the parties receiving and paying it can alter conditions on which other people rely.

What remains after the cash returns

Ofwat examined October 2023 and March 2024 arrangements separately. The October interim dividend paid £37.5 million to the holding company. The March arrangements included a pension-related component as well as the £131.3 million tax-loss transaction. The regulator distinguished them rather than assigning every intragroup payment the same consequence.[1]

That discrimination is essential. An internal transaction is not harmless merely because both sides belong to one group. Nor does complexity establish that every transfer is asset stripping. We need to identify the benefit acquired, the capacity surrendered and the relationship to the company's obligations, including obligations to employees as well as customers.

On 28 May 2025, Ofwat announced final decisions in two investigations: a £104.5 million wastewater penalty and an £18.2 million dividend penalty, together £122.7 million. These were different enforcement matters. The total was not a penalty for one dividend, and the value of a challenged distribution was not interchangeable with the amount of the fine.[3]

The wastewater case also produced an enforcement order requiring correction of identified breaches. Ofwat found failings in the provision, maintenance and operation of adequate infrastructure. Those are regulatory findings about specified obligations. They do not establish the cause of every discharge, or turn a wastewater enforcement case into a finding that all household drinking water was unsafe.[3]

The company's response belongs beside those findings. Thames Water said it took environmental responsibilities seriously and had made progress. It maintained that its board considered legal and regulatory obligations when deciding the dividends. It also said that remediation required assessment of capital costs and timing and was not fully funded through the existing price determination.[4]

That account does not cancel the regulator's final findings. It does identify work still required. Ordering repairs does not supply the money, timetable or engineering capacity to perform them. Saying that an allowance is insufficient does not by itself excuse an existing obligation. Plans and subsequent performance have to answer both questions.

The tax-loss transaction generated a further kind of response. Ofwat explained that an adjustment through a future price control would protect customers from losing the benefit of losses that could otherwise offset the company's tax liabilities. The response concerned future allowances, not a claim that every household immediately received a cash refund.[1]

Sometimes, then, correcting a transfer means restoring or protecting a future condition rather than tracing cash back along the route it travelled. The current balance can look unchanged while a usable capacity has gone. A remedy needs to follow the consequence, not simply look for a payment with the same label in the opposite direction.

A penalty is not a repaired pipe

A fine can respond to a failure and change the incentives surrounding the next decision. It does not itself provide engineers, improve treatment capacity or demonstrate that a facility is ready for the next period of heavy rainfall. Accountability and the restoration of service have to connect, but one cannot stand in for the other.

On 27 August 2025, Ofwat announced a payment plan for the two penalties. They had originally been due by 20 August; the company applied under the legislation for different payment terms. The revised plan required twenty per cent, approximately £24.5 million, by 30 September. That was a requirement, not evidence reviewed here that the money had arrived.[5]

The remaining eighty per cent was due at the earliest of three events: thirty days after implementation of a financial restructuring improving liquidity; if the company entered the Special Administration Regime, thirty days after it left; or a backstop of 31 March 2030. The backstop was not permission to disregard an earlier trigger.[5]

This brings the regulator's own judgment into view. Would demanding all the money immediately weaken the ability to perform statutory functions? Would postponement dilute deterrence or place the payment too far from the failure? A large headline penalty cannot decide those questions by itself. The timing has consequences as well as the amount.

Ofwat explained the plan as balancing timely recovery and deterrence with the company's ability to finance its statutory functions during refinancing.[5] That rationale can be assessed rather than merely applauded or dismissed. Whether instalments arrived, how a trigger was established and whether repairs advanced while payment waited are questions for subsequent records. Agreement with the need for balance does not establish that every chosen term was right.

The need to keep water running cannot protect every existing financial arrangement either. Households need adequate, continuing service; that is not an unlimited undertaking to preserve one holding structure or every expectation of a return. Protecting a network and protecting all claims attached to it are different objectives.

This is also why telling household customers to take their business elsewhere does not reach the issue. Where the ordinary switching route is unavailable, usable information and effective oversight become more important. A complaint channel that records dissatisfaction but cannot lead to an answer or change has not, simply by existing, made dependency less consequential.

Oversight cannot stop at the operator reporting success. Which facilities require work? What resources support the plan? Against what standard will completion be checked, and how will a delay be explained? Accepting a plan is itself a decision: the regulator should be able to explain why it is sufficient and what will happen if it is not carried out.

Those questions have a time dimension often lost in a dispute over a single distribution. The investment required to sustain a network and the consequences of transferring a future benefit extend beyond the day of a board decision. Oversight needs a way to follow obligations over that longer period, rather than treating a report filed on time as the end of the service problem.

Institutional responsibilities also need to remain distinct. The company's May response noted a parallel Environment Agency investigation.[4] One regulator's decision was not a conclusion to every proceeding. Identifying the proper institution should help a question reach someone who can answer it, not allow responsibility to disappear as the question moves among offices.

Private, public and other ownership arrangements can create different financing possibilities and incentives. Their names do not maintain infrastructure. Each still has to answer who supplies resources, who decides their use and how a failure can lead to correction. A change in owner may matter greatly without automatically completing that work.

This history does not demand that we choose either investment or customers and forget the other. It asks us to put both into the same span of time. Can a return today diminish the ability to perform tomorrow's duties? Can accountability today be enforced without removing the conditions of continued service? The answers require more than the loudest number on the page.

Cash can circulate and tax benefits can move within a corporate group. The water still has to come through this pipe. An adequate explanation returns to the people depending on it: after the transaction, the penalty and the promised repair, what do they actually receive, and who remains available to answer their questions?

Thames Water

Thames Water
